Decisiv makes available through the Site certain online services, including but not limited to online services for vehicle manufacturers, owners, dealers, original equipment manufacturers and other service providers to manage vehicle maintenance and repair (each, a ‘Service’ and, collectively, the ‘Services’). To access and use a Service you must have already registered with an authorized partner for such Service, and such authorized partner must have already made such information available to Decisiv. Such registration is required for all users of the Services. Only registered users can access and use a Service. If you are not a registered user of a Service, you may not access or use that Service. Non-registered users are permitted to access and review any non-restricted areas of the Site. Attempting to access restricted areas of the Site without authorization is prohibited.
- Information Provided by You.
You agree (i) to provide your authorized partner with accurate, current and complete information, (ii) to notify your authorized partner if any of this information changes, and (iii) that all such information may be disclosed by such authorized partner to Decisiv. You acknowledge that if any information provided by you to Decisiv (either directly or indirectly via your authorized partner) at any point is untrue, inaccurate, not current or incomplete we may suspend or terminate this Agreement and your use of the Site and the Services. Any information you provide during the registration process for a Service, which we subsequently receive from your authorized partner, will be treated by Decisiv in the manner described in our Data Governance Statement (the ‘Data Governance Statement’), available at https://www.decisiv.com/data-governance-statement/ .
(a) Access Credentials. As part of the registration process, you will have been provided certain login credentials, private key certificates or other authentication credentials by Decisiv (‘Decisiv Access Credentials’) (which may be accessed and managed by your authorized partner). Your Decisiv Access Credentials are solely for your use in accessing and using the applicable Service; provided that such Decisiv Access Credentials may be accessed and used by your authorized partner in connection with any applicable single sign on authentication functionality (as further described in subsection (b) below). Decisiv does not permit any person other than you to use your Decisiv Access Credentials to access a Service (subject to subsection (b) below) and you agree not to permit any other individual to use the Decisiv Access Credentials. You agree not to transfer or resell your use of or access to the Services to any other party (subject to subsection (b) below). You are responsible for any use of the Services and the Site that is accessed through your Decisiv Access Credentials. If you believe an Unauthorized Use (as defined below) has occurred, you are required to notify Decisiv immediately by sending an e-mail to firstname.lastname@example.org. We reserve the right to suspend your use of the Services if at any time we determine that it is necessary for us to confirm the existence and validity of your Partner Agreement or authorized partner. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR DECISIV ACCESS CREDENTIALS AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.
(b) Single Sign On. To the extent that Decisiv and your authorized partner have agreed to make the applicable Service available to you via a single sign on system that permits you to access the applicable Service through login credentials, private key certificates or other authentication credentials issued to you by your authorized partners (‘Partner Access Credentials’), (i) Decisiv may make such single sign on functionality available to you pursuant to the terms and conditions of such agreement between Decisiv and your authorized partner, and (ii) you agree that such Partner Access Credentials may be accessed and used by Decisiv in connection with any such single sign on authentication functionality.
Provided you have completed the registration process and indicated your consent to this Agreement, Decisiv grants to you a non-exclusive, non-transferable right to access and use the applicable Service during the term of this Agreement. All rights not expressly granted to you in this Agreement are reserved to Decisiv and its partners.

Decisiv has registered an agent with the United States Copyright Office in accordance with the terms of the Digital Millennium Copyright Act (the ‘DMCA’) (see http://www.loc.gov/copyright/ for details) and avails itself of the protections under the DMCA. The DMCA provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials hosted by Decisiv infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed or access to it blocked. The notice must include the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed (or if multiple copyrighted works located on the Site are covered by a single notification, a representative list of such works); (c) identification of the material that is claimed to be infringing or the subject of infringing activity and information reasonably sufficient to allow Decisiv to locate the material on the Site; (d) the name, address, telephone number and email address (if available) of the complaining party; (e) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. If you believe in good faith that a notice of copyright infringement has been wrongly filed by Decisiv against you, the DMCA permits you to send Decisiv a counter-notice. Notices and counter-notices must meet the then-current statutory requirements imposed by the DMCA. Notices and counter-notices with respect to the Site should be sent to: Richard Hyatt, 10900 Nuckols Road, Suite 300, Glen Allen, VA 23060; email@example.com; (804)-762-4177 (fax) (804)-762-4153, Ext. 310 (phone).
